Benzoyl Chloride is highly reactive towards Neucleophile as the electrophillic nature of carbon carbon is greater due to direct attachment to chlorine and oxygen atom. Other than that Cl is a good leaving group too as it is weak conjugate base. In this reaction Acetate acts as a neucleophile. And the final product is Anhydride derivative. The overall reaction is as follow,
